Terms of Service
These terms form a direct consulting service agreement between you (the "Client") and Donald Ray Small, Jr. operating as a Sole Proprietor, under the trade name Donald Small Consulting ("I", "me"). The practice is not an LLC or corporation. I act as an independent contractor, not as your employee, partner, agent or joint venturer. By purchasing any package you accept these terms in full.

1. Services provided
Services are rendered directly by Donald Ray Small, Jr. operating as a Sole Proprietor. I provide professional advisory services only: live consultation calls, workflow audits, written strategy documents and roadmaps, as described on the Services page. This is a direct client-consultant agreement with an independent contractor; you are not purchasing employment, staffing or a partnership. No physical goods are sold or shipped. All services are delivered remotely by video call (Zoom or Google Meet) and by PDF documents sent to the email address you provide at checkout, within the turnaround stated for each package.
2. Scheduling and client responsibilities
After payment we contact you within 24 hours on business days with a scheduling link. Sessions rescheduled with at least 24 hours' notice incur no fee; no-shows or cancellations inside 24 hours consume the booked session. You agree to provide accurate information about your workflows, systems and constraints. My recommendations depend on that information being complete and truthful.
3. Fees, currency and taxes
All fees are stated and charged in US Dollars (USD) and are payable in advance through PayPal, including PayPal guest checkout with a credit or debit card. The Monthly AI Advisory Retainer is a single one-month engagement; it does not auto-renew. You are responsible for any taxes, duties or bank charges applicable in your jurisdiction that are not collected at checkout.
4. Scope limitations
Engagements do not include software development, model training, production deployment, ongoing system maintenance, third-party licence or API costs, or legal, tax, accounting or regulatory advice. Work beyond the purchased scope requires a separate written agreement and additional fees.
5. Intellectual property
On full payment, ownership of the custom deliverables created specifically for you — your audit report, workflow architecture document and roadmap — transfers to you, and you may use, adapt and share them freely inside your organisation. The pre-existing frameworks, templates, scoring models and methodologies we use to produce them remain our intellectual property and are licensed to you, non-exclusively, only as embedded in your deliverables; you may not resell, sublicense or publish them as standalone products. You retain all rights to the data, documents and materials you supply to us.
6. Confidentiality
Each party will keep the other's non-public information confidential and use it only to perform or receive the services. This obligation survives termination for three years. We may describe engagements in anonymised form (for example, "a 60-person logistics operator") unless you ask us in writing not to.
7. No guarantee of results
Our services are advisory. We do not guarantee any specific revenue, cost saving, efficiency, ranking or business outcome. Implementation decisions and their consequences remain yours.
8. Limitation of liability
To the maximum extent permitted by law, our total aggregate liability arising out of or related to an engagement is limited to the fees you paid us for that engagement in the twelve months preceding the claim. Neither party is liable for indirect, incidental, special or consequential damages, or for lost profits or data.
9. Cancellation and refunds
Cancellations and refunds are governed by the Refund & Cancellation Policy, which forms part of these terms: a full refund when you cancel at least 24 hours before a booked call, and no refund once consultation time has been delivered.
10. Governing law and contact
These terms are governed by the laws of the State of South Carolina, United States. Operating hours are Monday – Friday, 9:00 AM – 5:00 PM EST, and enquiries are answered within 24 hours on business days.
